Terms of Service

These terms cover your use of the VitalMed Supply website and ordering portal. They are about the software. The commercial terms of what you buy from us, including pricing, payment terms, and delivery, are set out in your account arrangement with us, and where the two differ, your account arrangement wins.
Who these terms are between
They are between VitalMed Supply LLC, a Wyoming limited liability company with a mailing address of 12810 S Date St, Jenks, OK 74037, and the business whose account is being used. If you are accepting them on behalf of a pharmacy, clinic, or other organization, you are confirming you are authorized to do so, and “you” in this document means that organization.
This is a service for businesses. It is not offered to consumers and it is not intended for personal use.
Accounts and access
Portal logins are issued by us at your request, to named people at your business. You are responsible for telling us promptly when someone should no longer have access, and we will deactivate them.
There are no passwords. Access is proved by a code sent to a work email address, so keeping that mailbox secure is what keeps the account secure. Do not share a login between people; ask us for a second one instead, at no charge.
We may suspend or end access to an account that is being used in a way that breaks these terms, or that puts the service or other customers at risk.
Orders
An order placed through the portal is an offer to buy, not a concluded contract. It becomes binding when we confirm it, and confirmation means our explicit confirmation, not an automatic message saying the order was received. We may decline an order, and we will tell you why if we do. If we need to change one (a quantity, a substitution), we will ask you first, and the changed order is binding only when you agree. If your account arrangement says something different about how orders are formed, it wins.
- Prices shown are the prices agreed for your account and are confidential to it.
- Stock figures are our best current information and can change between you looking and us picking.
- We aim to ship within two business days of a confirmed order. That is a target we work to, not a guarantee, and it does not cover delays caused by carriers or by events outside our control.
- Payment terms, credit arrangements, and returns are whatever has been agreed for your account.
If something arrives wrong, short, or damaged, tell us promptly and we will put it right.
Products and their use
We supply consumables and related goods to businesses that are licensed or otherwise permitted to buy and use them. You are responsible for holding whatever licenses, registrations, and permissions your jurisdiction requires, for storing and handling what we send you correctly, and for using it in line with the manufacturer’s instructions and applicable law.
We are a distributor. We do not manufacture what we sell, we do not provide clinical or professional advice, and nothing on this site or in the portal should be treated as such.
Acceptable use
- Use the portal for your own business with us, not on behalf of a competitor.
- Do not attempt to access another customer's account, pricing, or order history.
- Do not scrape, copy, or redistribute our catalog or pricing.
- Do not probe, scan, or attempt to interfere with the security of the service. If you find a vulnerability, tell us and we will thank you for it.
- Do not use the service to break the law.
Your information and ours
What we collect and how we handle it is set out in our Privacy Policy. Your business data remains yours. We use it to run your account and for nothing else.
The website, the portal, and their content remain ours. Using the service does not transfer any of that to you. Your account pricing is confidential and should be treated as such.
Where you connect a QuickBooks Online company, you confirm you are authorized to do so, and you can disconnect it at any time.
Availability
We work to keep the portal available and will give notice of planned maintenance where we reasonably can. We do not promise it will be uninterrupted or error free. The portal is a convenience for placing orders, not the only way to reach us: if it is down, phone or email us and we will take the order.
Liability
This section is about the website and portal, the software, not the goods we ship.
The portal and website are provided “as is”. To the fullest extent the law allows, we exclude implied warranties about them, including any implied warranty of merchantability or fitness for a particular purpose. We are not liable for indirect or consequential losses, lost profits, or lost business arising from their use, and our total liability for claims about the website or portal is capped at one hundred dollars.
None of this applies to either side’s fraud or willful misconduct, or to anything the law does not allow to be limited. Your rights in the goods we have actually supplied are governed by your account arrangement and by law, and nothing here cuts them down.
A few housekeeping terms
If part of these terms turns out to be unenforceable, the rest still stands. Not enforcing a term today does not waive it tomorrow. You may not transfer your account or these terms to someone else without our written consent; we may transfer them as part of a sale or reorganization of our business. These terms and your account arrangement together govern the portal, and where they differ, the account arrangement wins.
Changes and governing law
We may update these terms. If a change materially affects account holders we will email them at least fourteen days before it takes effect, rather than relying on the date at the top of this page. Continuing to use the portal after that means accepting it.
These terms are governed by the laws of the State of Wyoming. Any dispute about them belongs exclusively in the state or federal courts located in Wyoming, and both of us consent to those courts.
